Omron is paying **US$675M** in cash for OnLogic, a Vermont maker of rugged industrial PCs. That is about 4.4× last year’s sales and roughly 30× EBITDA. The bet is compute next to the machine, not another robot arm.\[1\]

Omron agreed on 10 Oct (Japan time) to buy 100% of Interlogic, OnLogic’s parent, and disclosed the deal on 13 Oct. Founders Lisa and Roeland Groeneveld own about 92%; 167 employee and officer shareholders hold the rest. Closing is planned for around Jan 2027, subject to approvals. OnLogic keeps its brand, its direct sales model and CEO Sean Larkin. More than 90% of its sales come from the Americas and Europe.\[1\]\[2\]

Omron’s filing spells out the logic: pair OnLogic’s PCs with Omron’s high-precision control to build “next-generation physical AI platforms”, and bundle them with its sensing and robotics kit. On adjusted EBITDA of US$27.1M the multiple is still about 25×. Omron expects no material impact on results for the year to Mar 2027.\[1\]

**Company filing**Price, financials, headcount, ownership and timing come from Omron’s TDnet notice. The multiples are our arithmetic on the FY2025 figures in that filing.

**Bottom line**A factory-automation incumbent is paying a software-like multiple for industrial PCs. Physical AI needs a reliable computer beside the robot as much as it needs the robot.
